Terms of Service

**In effect as of August 19, 2026** (v1.2 — adds tier names Basic/Metro, day-one first

delivery, restructured §7 replacement program with tenure allowances, and §7.1 à-la-carte

lead purchases). These are ZipScout's operative terms and govern your

subscription. They encode the business rules already implemented in the product and are

scheduled for attorney review; any revisions will be published here with a new version and

effective date, and material changes will be emailed to subscribers.

1. The Service. ZipScout ("we") provides business-lead information to subscribing sales

representatives ("you"): weekly lead deliveries for a defined geographic territory, a web

dashboard, and related tools. Operated by ZipScout, zipscout.io (support@zipscout.io). Full registered entity details will be

listed here once attorney review is complete.

2. Accounts. You must provide accurate signup information and keep your login private.

One account per subscriber; your account is for you, not for teams unless agreed in writing.

3. Fees & billing. A one-time territory setup fee (currently $99) plus a monthly

subscription priced by your territory's audited plan tier. Subscriptions are month-to-month and

renew automatically until cancelled. **You may cancel at any time, online and without contacting

us, from the Billing page in your dashboard** (which opens our payment processor's self-service

portal, where you can also update your card and download invoices). Cancellation takes effect at

the end of the current billing period; there are no partial-month refunds.

3b. Term (short-runway) plans. Where a territory's audit supports our standard volume for

fewer than 12 months, we may offer a fixed-term plan (typically 3, 6, or 9 months) at the

standard monthly rate and the standard setup fee for that plan level. Term plans END AUTOMATICALLY at the

end of the term — they do not auto-renew — and carry the same monthly lead guarantee (§5),

replacement program (§7), and no-duplicate rule (§8). When a formerly short-runway territory

later passes a full audit, the most recent term-plan subscriber receives first offer.

4. Free audit; setup fee. The territory sustainability audit is FREE — you pay nothing

until your audit is complete and your plan is confirmed. The one-time setup fee is charged only

at purchase (after confirmation) and covers territory buildout: completing the business census,

decision-maker confirmation, and ad-status verification for your exclusive area. Once buildout

begins, the setup fee is non-refundable.

5. Lead delivery — the monthly guarantee. Your first weekly allotment is delivered upon

account activation; thereafter we target weekly delivery (Sunday evenings, US) sized to your

plan (currently: Basic 40, Growth 80, Max 120, Metro 250 leads per month). Your plan tier

is only offered after your territory passes our sustainability audit for that volume. Deliveries

are drawn from a range of local business categories rather than a single industry; specific

category mix varies by territory and week. In any given week we may deliver fewer, better leads

rather than filler; however, over each monthly billing period you will receive your plan's

full lead count, or the shortfall will be credited against your next invoice on a per-lead

basis. Weekly counts are targets; the monthly total is guaranteed as described here.

6. Lead quality standard. Every delivered lead includes a decision-maker name confirmed by

at least one official public record naming the decision-maker, plus a contact phone. Verification methodology is shown

per lead.

7. Replacements. Replacement leads are drawn from your own exclusive territory's verified

inventory: a replacement advances a lead you would otherwise have received in a future weekly

delivery. Two categories of flag exist, with different entitlements:

(a) Data defects — a wrong phone number, a closed business, or a named contact who does not

handle marketing decisions. Flag these in your dashboard and a replacement is issued

immediately, without count limits, at any point in your subscription. ZipScout may re-verify

any flagged lead; flags that re-verification shows were accurate count as abuse under (c).

(b) Prior-relationship flags — a delivered business that is already your client, or one you

had already pitched and that declined, may likewise be flagged for immediate replacement,

subject to the following allowances (which reflect that such overlap naturally occurs early in

a subscription): during your first month, replacements for these flags are effectively

unlimited; in months two through five, up to five replacements per flag type per rolling

30 days; from month six onward, up to three per flag type per rolling 30 days. Flags beyond

the allowance are still recorded — the lead will not be delivered to you again — but do not

generate a free replacement; additional leads remain available for purchase under §7.1 or by

plan upgrade. ZipScout may adjust these allowances prospectively with notice.

(c) Integrity. Leads you have marked as an appointment or sale are not eligible for any

replacement flag. Abuse of the replacement program may convert your replacements to manual

review or, for repeated abuse, suspend the replacement program for your account.

7.1 Additional leads (à la carte). Subject to available verified inventory in your

territory, you may purchase additional leads at any time at the then-current per-lead price

(currently $5.00 per lead), billed one-time at checkout. Purchased leads are drawn from the

same territory inventory as scheduled deliveries, carry the same quality standard (§6), count

toward the no-duplicate rule (§8), and are not refundable once delivered.

8. No duplicates; exceptions. We will never deliver you the same lead twice within any

12-month period, with one exception: if something material changes at a business you already

received (for example a new decision-maker or newly detected advertising activity), we may

deliver it once more, clearly flagged as an update. After 12 months from a lead's delivery, a

business may appear again only if we have re-verified it since that delivery, and it will be

flagged as a refresh. Updates and refreshes are part of the service, not duplicates.

9. Territory exclusivity. One active subscriber per territory. Your territory is defined at

signup by ZIP/area. We may maintain waitlists for occupied territories.

10. Permitted use. Leads are licensed to you for your own direct sales prospecting only.

You may NOT resell, redistribute, publish, or share lead data outside your own sales activity,

use it to build or seed another database or product, or use automated means to extract data

from the service. Violation terminates your account without refund.

11. Your outreach, your compliance. You are solely responsible for how you contact leads,

including compliance with TCPA, federal/state Do-Not-Call rules, CAN-SPAM, and any local laws.

Our phone-type flags (e.g., business line vs. personal/cell caution) are provided as an aid,

not legal advice.

12. Data disclaimer. Lead data is compiled from public sources and verified per our stated

methodology. Businesses change constantly; we do not warrant that any datum is error-free at

the moment you use it (that is what the replacement program is for). We make no guarantee of

appointments, sales, or business outcomes.

13. Limitation of liability. To the maximum extent permitted by law, our total liability

for any claim is limited to the fees you paid us in the three (3) months before the claim

arose. We are not liable for indirect, incidental, or consequential damages.

14. Termination. You may cancel anytime (effective end of billing period). We may suspend

or terminate accounts for non-payment, abuse of the service or replacement program, or breach

of Section 10.

15. Changes. We may update these Terms with notice via the service or email; continued use

after the effective date constitutes acceptance. The version and date you accepted are recorded

with your account.

## FOR ATTORNEY REVIEW — open items (not part of the Terms)

1. Entity: §1 has a placeholder — confirm the operating legal entity for ZipScout and conform

§1, the Stripe account, and the privacy policy to it.

2. Governing law: §16 placeholder is Utah — confirm.

3. Auto-renewal compliance: subscriptions are month-to-month auto-renewing (§3). Please check

state automatic-renewal laws (esp. California ARL — clear disclosure, affirmative consent,

easy online cancel) against our checkout flow; §3b term plans deliberately do NOT auto-renew.

4. §11 outreach compliance: is the disclaimer allocating TCPA/DNC/CAN-SPAM responsibility to

the subscriber adequate as drafted, given we also provide phone-type caution flags?

5. Data provenance: all lead data is compiled from public sources (state licensing boards,

federal NPI registry, OpenStreetMap, business websites, ad-transparency archives) by us; no

licensed third-party datasets are currently used. Does §12 adequately cover this?

6. Trademark: "ZipScout" has other users in adjacent spaces (see BRAND-CLEARANCE.md) —

recommend a knockout search before filing or major spend.

7. Refunds: §3 (no partial-month refunds) + §4 (setup fee non-refundable once buildout

begins) — confirm enforceability as written.

8. Privacy policy: not yet drafted; we collect subscriber name/email/phone/ZIP and payment

via Stripe. Needs a companion privacy policy before launch.
